These Terms of Service ("Terms") govern your use of the Corinth Systems website and, together with any signed proposal or statement of work, our services. By using this website or engaging our services, you agree to these Terms.

Services

Corinth Systems provides technology services including advisory and assessment, application modernization, custom software engineering, AI and automation, data and integration, cloud and platform engineering, and managed services. The specific scope, deliverables, timeline, and fees for any engagement are defined in a written proposal or statement of work agreed with the client.

Fees and payment

Engagement fees, payment schedules, and any recurring fees are set out in the applicable proposal. Unless otherwise agreed in writing, engagements require a deposit before work begins, invoices are due upon receipt, and assessment fees are non-refundable once work has started. Managed services agreements may be terminated per the terms of the applicable proposal.

Client responsibilities

Clients agree to provide timely access to systems, accounts, personnel, and information reasonably needed to deliver the work, and to review and respond to deliverables within agreed timeframes. Delays in client input may extend engagement timelines.

Intellectual property

Upon full payment, clients own the custom deliverables created for their engagement, including custom code, designs, and documentation, except for (a) third-party materials, which remain subject to their own licenses, and (b) Corinth Systems' pre-existing tools, frameworks, methodologies, and know-how, which we retain and license to the client for use within the deliverables.

Third-party services

Our deliverables commonly rely on third-party platforms (such as cloud providers, business software, and AI services). Those services are governed by their own terms and pricing, which the client is responsible for. We are not liable for changes, outages, or discontinuation of third-party services.

Warranties and disclaimers

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. Except as expressly stated, services and deliverables are provided "as is" without other warranties, express or implied. We do not guarantee specific business outcomes or that any system will be uninterrupted or error-free. Security engineering reduces risk but no service can guarantee prevention of all security incidents.

Limitation of liability

To the maximum extent permitted by law, Corinth Systems' total liability arising out of or related to any engagement shall not exceed the fees paid by the client for that engagement in the twelve months preceding the claim, and in no event shall Corinth Systems be liable for indirect, incidental, consequential, or punitive damages, or for lost profits or data.

Confidentiality

Each party agrees to keep the other's non-public business information confidential and to use it only for purposes of the engagement.

Termination

Either party may terminate an engagement per the terms of the applicable proposal. Upon termination, the client pays for work performed through the termination date, and each party returns or deletes the other's confidential information on request.

Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in San Diego County, California.

Changes

We may update these Terms from time to time. Continued use of the website after changes constitutes acceptance. Signed proposals are governed by the Terms in effect at signing.
